Terms of Service

Last Updated: October 21, 2026

1. Agreement and eligibility

These proposed terms describe use of RepStation, operated by Townsend Marketing LLC in St Augustine, Florida. They are an owner-review draft and are not approved contractual terms. Effective date: [OWNER TO APPROVE]. Account age requirement and acceptance mechanism: [OWNER/LEGAL TO APPROVE].

A person creating or administering a business account must have authority to act for that business and provide accurate registration information. Final terms must state how users accept them and how changes are communicated. No new acceptance requirement is imposed by this draft page.

2. RepStation services

RepStation provides business workspaces, AI REPs, customer records, tasks, appointments, operational records, communication drafts and approvals, invoicing records and authorized integrations. Available functionality depends on implemented tools, account permissions, Rep setup and provider authorization. Catalog availability does not promise that every external service is connected or that every planned feature exists.

AI REPs are artificial-intelligence software, not human employees, licensed professional advisers or a guarantee of business outcomes. The customer remains responsible for directing its business.

3. Accounts and organization administration

Register with your own authorized email and protect your password and sign-in credentials. Keep organization membership and permissions appropriate for your business. Administrators are responsible for authorizing connections and reviewing access. Notify info@townsend-marketing.com of suspected unauthorized use.

Do not share provider passwords with RepStation. Google and Meta connections use provider authorization; Resend/Twilio connections require business-owned credentials submitted through the connection controls. Do not attempt to access another customer's organization or bypass authentication, approvals or restrictions.

4. Plans, billing and complimentary access

Listed plans are CEO at $97/month or $970/year, Team at $197/month or $1,970/year and Fully Staffed at $297/month or $2,970/year. Ava is included in each plan. Team includes three selectable core REPs; Fully Staffed includes seven core REPs. Additional core REPs are listed at $39/month where applicable. Listing a rate is not confirmation of a charge.

Subscription checkout, automatic payment collection and actual recurring billing are not switched on in the reviewed implementation. No current renewal charge, cancellation-fee schedule or refund entitlement is established by the app. Before enabling billing, approve and disclose payment terms, taxes, renewal consent, cancellation timing, refund policy and any trial conversion behavior. An account labeled trialing must not be assumed to have an authorized payment arrangement.

Platform-owner-granted complimentary access uses normal Fully Staffed entitlements with the fee waived: $0, no required card, no automatic conversion to paid and no trial expiration attached to the grant. The platform owner may revoke the grant; retained work is not erased by revocation, and the account returns to its prior plan/access rules. Any later paid conversion requires the client's explicit approval and a real approved billing flow.

5. AI REP outputs and approvals

AI REPs may use selected customer and business information to answer questions, prepare drafts, identify issues and support authorized workflows. Outputs can be inaccurate, incomplete or unsuitable. Review them before relying on them or communicating them externally; do not present an AI REP as a human worker.

Configured sensitive actions require human approval. Message automations produce approval-pending drafts, while explicitly enabled task automations and Meta comment-to-DM rules can execute their configured action without a separate approval for each event. Customers must understand and control their enabled rules. Approval does not establish that a message was delivered; check actual send results.

Customer information can be processed by third-party AI services as described in the Privacy Policy. Do not submit data you lack authority to process. AI output ownership and provider licensing treatment require legal review; this draft does not promise exclusivity or freedom from third-party rights.

6. Third-party integrations

Connections use the customer's authorized Google, Meta, Resend or Twilio account where implemented. Third-party terms, permission reviews, account status, rate limits and platform restrictions apply. No connection is guaranteed; a provider can revoke or restrict access. Google Calendar/Gmail require separate authorization and Meta features require eligible approved permissions.

Respect private-reply restrictions and valid messaging windows. Do not use the platform to evade consent, contact restrictions, opt-outs or platform limits. Disconnecting stops future use of locally stored credentials; it may not delete provider-side data or local historical copies. Follow the provider's own revocation controls where needed.

7. Customer data and service permissions

Customers retain their rights in business data they supply. They must have authority to collect, upload and use it, including contact information, communications and linked-account data. Customers are responsible for their notices, consents and the rights of their staff and clients.

Proposed service-delivery permission, for legal review: authorize Townsend Marketing LLC and necessary service providers to host, process and transmit submitted information only as needed for the requested service and authorized operations. The final license scope, retention limits, confidentiality and processing agreement must be approved before these terms take effect.

8. Acceptable use

Do not use RepStation for unlawful activity, spam, harassment, impersonation, fraud, malware, privacy violations or infringement. Do not obtain data without authorization, bypass tenant isolation, expose credentials, attempt to defeat approval rules or misuse AI-generated content to deceive people.

Do not make unsupported claims about products, testimonials, compliance, customer history or completed work. Do not ask AI REPs to fabricate approvals, payment records, successful connections or delivery outcomes.

9. Communications and marketing responsibilities

The customer chooses recipients, content, offers and messaging rules and must comply with applicable email, SMS, advertising, privacy and platform requirements. Obtain required consent, honor opt-outs and Do Not Contact preferences, identify the sender correctly and use authorized sender accounts.

Built-in consent checks and approval controls assist with work; they are not legal advice or proof that a campaign complies with any law. Review eligibility, content, permissions and recipient preferences before approving sends or enabling private replies.

10. Invoices and customer payments

Customer invoices are business records distinct from fees owed for RepStation. The customer is responsible for invoice accuracy, tax treatment, payment instructions and resolving customer disputes. Recording a payment marks an accounting record; it does not collect money or independently confirm settlement.

No implemented Stripe checkout or card-collection flow is represented as active. If a payment processor is introduced, disclose its terms and the separate roles of the processor, customer business and RepStation before collection begins.

11. Intellectual property

RepStation branding and software are separate from the customer's supplied content. Do not copy, resell or misuse service materials beyond rights actually granted. Third-party materials and provider services remain subject to their owners' rights.

Final service-license, AI-output rights and restrictions on redistribution require attorney review. No transfer of a customer's pre-existing business content is intended by this draft.

12. Availability, changes and termination

The service can experience interruption, provider errors and feature changes. No uptime guarantee or autonomous business-outcome guarantee is established. Retain independent copies of business records important to your operations.

Proposed terms for review: permit proportionate restrictions for misuse or security concerns and appropriate account termination with legally required notice. Suspension criteria, notice, appeals, termination export/deletion periods and continuity obligations are unresolved and must be approved. Contact info@townsend-marketing.com for account closure questions; a complete self-service erasure workflow is not currently implemented.

14. Governing law and disputes — owner approval

Townsend Marketing LLC is located in St Augustine, Florida. That location alone does not establish the agreed governing law or dispute forum. Governing law, venue and dispute process: [OWNER/ATTORNEY TO APPROVE]. No arbitration clause, class-action waiver or jurisdiction agreement is imposed by this draft.

15. Contact and updates

Contact Townsend Marketing LLC at info@townsend-marketing.com. Mailing address: [OWNER TO CONFIRM]. Last Updated identifies the revision date, not an approved effective date. Notice, re-acceptance and material-change procedures must be finalized with the remaining terms.
